Creator Terms

1. Agreement to These Terms
These Creator Terms supplement the TEMBRY Terms of Service. By participating as a creator, you agree to these Creator Terms and the other TEMBRY policies that apply to your use of the platform.
If you do not agree to these Creator Terms, do not submit products or designs for sale or manufacturing through TEMBRY.
2. Creator Eligibility
TEMBRY's initial Creator Program is intended for individuals who are at least 18 years old and are legally able to enter into a binding agreement.
You must provide accurate account, payment, tax, identity, and other information reasonably required to operate the Creator Program or comply with applicable law.
3. Your Designs Remain Yours
As between you and TEMBRY, you retain the ownership rights you have in original designs, models, artwork, product concepts, photographs, descriptions, branding, and other creator content that you submit.
These Creator Terms do not transfer ownership of your original intellectual property to TEMBRY merely because you upload or list it on the platform.
4. License You Grant TEMBRY
By submitting creator content to TEMBRY, you grant TEMBRY a non-exclusive, worldwide license to host, store, reproduce, display, format, convert, process, transmit, distribute, and otherwise use that content as reasonably necessary to operate, promote, secure, and provide the TEMBRY platform and Creator Program.
For any product you make available for manufacturing or sale through TEMBRY, this license also includes the right to prepare, reproduce, manufacture, route, fulfill, package, and deliver customer orders for that product and to authorize TEMBRY's service providers and manufacturing or fulfillment partners to perform those activities on TEMBRY's behalf.
This license is limited to purposes connected with operating TEMBRY, fulfilling authorized transactions, supporting customers, maintaining platform records, promoting listings while they are available, and meeting legal or security obligations.
5. Manufacturing Files
Creator submissions may include manufacturing files, 3D models, machine-readable files, specifications, instructions, images, configuration data, or other information needed to produce a product.
TEMBRY may process, convert, prepare, validate, slice, transmit, or otherwise technically modify manufacturing data when reasonably necessary to manufacture, route, fulfill, test, or support an authorized product.
Technical processing of a file for manufacturing does not by itself transfer ownership of the creator's underlying intellectual property to TEMBRY.
6. Creator Representations
By submitting or listing creator content, you represent that you have the rights, licenses, permissions, and authority necessary to submit the content and authorize the uses described in these Creator Terms.
You must not submit content that infringes or misappropriates another person's copyright, trademark, patent, trade secret, right of publicity, privacy right, or other legal right.
You are responsible for ensuring that your product listing, description, images, claims, instructions, and customization options accurately describe the product you are offering.
7. Third-Party Intellectual Property
The fact that a design, model, logo, character, image, brand, or other material can be found online does not necessarily mean it may be used commercially.
Creators are responsible for obtaining any permission or license required to use third-party intellectual property in products offered through TEMBRY.
TEMBRY may remove, restrict, disable, or refuse content when TEMBRY reasonably believes the content may violate intellectual property rights, applicable law, these Creator Terms, or another TEMBRY policy.
8. Product Safety and Legality
Creators must not knowingly offer products that are unlawful, inherently unsafe for their represented use, or prohibited by TEMBRY policy.
Creators are responsible for providing accurate safety information, warnings, age restrictions, instructions, material requirements, and intended-use information when those disclosures are reasonably necessary for the product.
TEMBRY may refuse or remove a product that presents legal, safety, manufacturing, intellectual-property, fraud, or platform-integrity concerns.
9. Product Review and Approval
Submission of a product does not guarantee that TEMBRY will publish, manufacture, promote, or continue offering it.
TEMBRY may review products for technical feasibility, manufacturing requirements, content compliance, quality, safety, intellectual property concerns, or other platform requirements.
TEMBRY may require changes to a listing or manufacturing configuration before allowing a product to be sold or produced.
10. Pricing, Fees, and Creator Earnings
Before a creator product is offered for sale, TEMBRY may display or otherwise provide the applicable pricing structure, creator earnings, platform fees, manufacturing costs, payment-processing effects, or other transaction terms.
Creator earnings may be calculated according to the pricing and fee structure applicable to the product or transaction at the time of the sale.
TEMBRY may update prospective pricing or fee structures. Material changes will apply as communicated by TEMBRY and subject to applicable law. Changes do not retroactively alter creator earnings already earned from completed transactions unless required to correct an error, refund, chargeback, fraud, or other valid adjustment.
11. Creator Payouts
Creator payouts may be subject to order completion, payment settlement, refund and chargeback status, fraud review, required tax information, payment-provider requirements, minimum payout requirements if disclosed, and other reasonable financial controls.
TEMBRY may withhold or adjust amounts when reasonably necessary to account for refunds, chargebacks, fraudulent transactions, duplicate payments, payment reversals, legal requirements, or calculation errors.
TEMBRY will not intentionally withhold undisputed creator earnings without a legitimate contractual, operational, or legal basis.
12. Taxes
Creators are responsible for their own income taxes and other taxes arising from creator earnings except for taxes that applicable law requires TEMBRY or another service provider to collect, report, withhold, or remit.
TEMBRY may request tax documentation or other information reasonably necessary to meet reporting, withholding, or payment obligations.
13. Customer Orders and Fulfillment
TEMBRY may manage customer checkout, payment processing, manufacturing routing, fulfillment, shipping, customer support, refunds, reprints, replacements, or other order operations for products sold through the platform.
Creators authorize TEMBRY to make reasonable operational decisions necessary to resolve customer-order issues, including manufacturing errors, damaged products, incorrect orders, refunds, chargebacks, or legally required remedies.
14. Refunds and Creator Earnings
If a transaction is refunded, reversed, charged back, determined to be fraudulent, or otherwise invalidated, associated creator earnings may be canceled, withheld, or deducted from future amounts where appropriate and permitted by law.
TEMBRY may consider the cause of a refund or replacement when determining whether an adjustment should affect creator earnings.
15. Promotion of Creator Products
While a product is available through TEMBRY, TEMBRY may use the creator's product name, listing images, creator name or handle, product description, and reasonable excerpts or representations of the product to display and promote the listing and the TEMBRY platform.
TEMBRY does not acquire ownership of a creator's trademarks merely by using them as authorized to identify or promote the creator's listing.
16. Removing Your Products
Subject to platform functionality and outstanding obligations, creators may request that their products no longer be offered for new orders.
Removal of a listing does not cancel customer orders already accepted or eliminate rights reasonably needed to complete existing orders, handle refunds or disputes, maintain transaction records, protect the platform, or comply with law.
17. TEMBRY Removal or Suspension
TEMBRY may remove a listing or suspend creator access when reasonably necessary because of suspected fraud, legal violations, intellectual property complaints, safety concerns, repeated quality problems, policy violations, payment issues, security risks, or material harm to customers or the platform.
Where appropriate, TEMBRY may provide an opportunity to correct a problem before permanent removal. Serious or urgent issues may require immediate restriction.
18. Intellectual Property Complaints
TEMBRY may investigate notices alleging that creator content infringes another person's rights and may restrict or remove disputed content while a matter is reviewed.
Creators agree to cooperate reasonably with legitimate investigations involving their submitted content.

19. Confidential and Sensitive Information
Do not submit trade secrets, confidential information belonging to another person, credentials, private keys, passwords, or other information that you are not authorized to provide to TEMBRY.
Creators should provide only the information reasonably necessary to list, manufacture, sell, support, or fulfill their products.
20. Platform Changes
TEMBRY may modify Creator Program features, manufacturing options, supported product types, technical requirements, payment systems, or other program operations as the platform develops.
Material changes to these Creator Terms will be communicated or published as required by applicable law. The "Last updated" date will be revised when these Terms are updated.
21. Termination
A creator may stop participating in the Creator Program, subject to completion of outstanding orders, payment obligations, disputes, and other responsibilities that reasonably survive termination.
TEMBRY may terminate creator participation when permitted by these Terms, the TEMBRY Terms of Service, or applicable law.
Provisions concerning ownership, licenses needed for existing transactions and records, intellectual property, payment adjustments, disputes, liability, and other provisions that by their nature should survive may continue after termination.
22. Relationship Between Creator and TEMBRY
Participation in the Creator Program does not by itself create an employment relationship, partnership, joint venture, franchise, or agency relationship between a creator and TEMBRY.
Creators are not authorized to make commitments or representations on behalf of TEMBRY unless TEMBRY expressly authorizes them to do so.
23. No Guaranteed Sales
TEMBRY does not guarantee that a creator's product will receive traffic, promotion, orders, revenue, or any particular level of earnings.
24. Relationship to Other TEMBRY Terms
These Creator Terms supplement the TEMBRY Terms of Service and other applicable TEMBRY policies.
If a provision of these Creator Terms conflicts with a right or obligation that cannot legally be waived, applicable law controls.
